whom和that在定语从句中作宾语时，whom只能指代人（即先行词是人），而that既可以指代人也可以指代事物（即先行词可以是人也可以是事物），例如：
The man whom / that our teacher is talking to is Toms father.我们老师正在与之谈话的那个人是汤姆的爸爸（本句中，whom/that指代先行词the man，作从句中is talking to的宾语）
